These Terms of Service (“Terms”) govern your access to and use of UseLink, a subscription and payment-access platform operated by Consylus Technologies Limited (“UseLink”, “we”, “us”, or “our”).

By creating an account, creating a subscription link, joining a paid community, making a payment, receiving payouts, or otherwise using UseLink, you agree to these Terms.

If you do not agree with these Terms, you must not use UseLink.


1. About UseLink

UseLink helps creators, community managers, and businesses create paid subscription links for access to private communities, groups, channels, content, or digital services.

UseLink may allow subscribers to pay for access, after which access may be granted automatically or manually depending on the creator’s setup and connected platform.

UseLink is a technology and payment-access platform. We are not the owner, operator, publisher, or guarantor of any creator’s private community, content, offer, promise, advice, or service.


2. Key Definitions

Creator means a person, business, community manager, or organization that uses UseLink to create paid links, receive payments, and manage access to a community or digital offer.

Subscriber means a person who pays through UseLink to access a creator’s community, group, channel, content, or service.

Community means any Telegram group, Telegram channel, WhatsApp group, private page, digital space, or other access-controlled destination connected to a UseLink subscription link.

Subscription Link means a payment or checkout link created through UseLink.

Payment Partner means any bank, payment processor, service bank, acquirer, card scheme, or financial institution we work with, including Kora.

Transaction means any payment, subscription, payout, refund, chargeback, reversal, settlement, or related payment activity processed through UseLink.


3. Eligibility

To use UseLink, you must:

  • Be legally capable of entering into a binding agreement.
  • Provide accurate and complete information.
  • Use UseLink only for lawful purposes.
  • Comply with these Terms, our policies, and applicable laws.
  • Not be prohibited from receiving or making payments under applicable law or payment partner rules.

Creators may be required to complete identity verification, business verification, bank account verification, or other compliance checks before accessing some features or receiving payouts.


4. Creator Responsibilities

Creators are fully responsible for the communities, content, products, services, promises, and offers they sell through UseLink.

As a Creator, you agree that:

  1. You will clearly describe what subscribers are paying for.
  2. You will provide access to the community or service paid for.
  3. You will not mislead subscribers about pricing, access, duration, renewal, exclusivity, expected results, earnings, content, or benefits.
  4. You will comply with all applicable laws, regulations, payment rules, consumer protection rules, tax obligations, and platform policies.
  5. You will provide accurate bank account and identity information where required.
  6. You will cooperate with UseLink in resolving subscriber complaints, refunds, fraud reviews, chargebacks, and disputes.
  7. You will not use UseLink to process illegal, fraudulent, deceptive, abusive, or unauthorized transactions.
  8. You will not attempt to bypass UseLink’s payment, subscription, payout, or access-control systems.

Creators remain responsible for their own customer relationships, content delivery, community management, tax obligations, refund obligations, and legal compliance.


5. Subscriber Responsibilities

As a Subscriber, you agree that:

  1. You are responsible for reviewing the creator’s offer before making payment.
  2. You understand that the creator is responsible for the community, content, access, or service being sold.
  3. You will not make fraudulent, unauthorized, or abusive payments.
  4. You will not initiate false disputes, false chargebacks, or misleading refund claims.
  5. You will provide accurate contact and social platform information where required for access delivery.
  6. You understand that access may depend on your payment being successful and your social account being valid, reachable, and eligible to join the creator’s community.

UseLink may assist with access delivery, subscription tracking, and support, but UseLink does not guarantee the quality, safety, legality, accuracy, profitability, or value of any creator’s community or content.


6. Payments

Payments made through UseLink may be processed by third-party payment partners, including Kora, banks, card schemes, acquirers, and other financial institutions.

By using UseLink, you authorize us and our payment partners to process payments, verify transactions, perform fraud checks, process refunds where applicable, and maintain transaction records.

A payment is not considered successful until we or our payment partner confirm the successful transaction.

UseLink may refuse, cancel, delay, suspend, or reverse a transaction where required for fraud prevention, legal compliance, payment partner requirements, risk management, chargeback handling, or security reasons.


7. Creator Payouts

Creators may receive payouts for eligible successful transactions, subject to these Terms, payment partner rules, risk reviews, refund exposure, chargeback exposure, settlement timelines, KYC completion, and applicable deductions.

UseLink may delay, withhold, suspend, reverse, or deduct payouts where:

  • A transaction is suspected to be fraudulent.
  • A subscriber raises a complaint, refund request, or chargeback.
  • A creator has not completed KYC or bank verification.
  • A creator’s community or offer violates these Terms.
  • Required information is missing or inaccurate.
  • A payment partner, bank, card scheme, regulator, or law enforcement authority requires it.
  • There is a security, compliance, or operational issue.
  • UseLink reasonably believes there is a risk of loss, liability, refund, chargeback, regulatory issue, or reputational harm.

Creators should not treat pending wallet balances, settlement balances, or transaction amounts as final until all applicable checks, deductions, dispute windows, chargeback exposure, and settlement processes are complete.

UseLink may apply rolling reserves, delayed payouts, temporary holds, or payout limits to manage risk.


8. Fees and Deductions

UseLink may charge service fees, transaction fees, payout fees, settlement fees, refund fees, chargeback fees, compliance fees, or other applicable charges.

Fees may be deducted from payments, creator balances, payouts, settlements, or future amounts owed to creators.

Third-party payment partners may also charge processing fees, settlement fees, chargeback fees, refund fees, bank fees, card scheme fees, taxes, levies, or other charges.

UseLink may update fees from time to time. Where required, we will notify users of material fee changes.


9. Refunds

Refunds are handled according to UseLink’s refund process, the creator’s stated policy, payment partner rules, and applicable law.

Creators agree that:

  1. Refunds must be processed through UseLink or the original payment channel where possible.
  2. Creators must not issue off-platform refunds in a way that creates duplicate refund, chargeback, or reconciliation risk.
  3. UseLink may deduct refund amounts, refund fees, chargeback costs, or related losses from creator balances or future payouts.
  4. UseLink may issue or facilitate refunds where required by law, payment partner rules, fraud prevention, dispute resolution, or consumer protection obligations.
  5. UseLink may withhold creator payouts where refund risk is high.

Subscribers should contact UseLink support or the creator first before initiating a payment dispute or chargeback.


10. Chargebacks and Payment Disputes

Creators are responsible for chargebacks, reversals, failed payments, unauthorized payment claims, refund disputes, and related costs arising from their communities, offers, subscribers, or transactions.

UseLink may require creators to provide evidence within a short timeframe when a chargeback, refund request, or dispute is raised.

Evidence may include:

  • Proof of the subscriber’s payment.
  • Proof that access was granted.
  • Access logs.
  • Subscription details.
  • Community name.
  • Subscriber username, phone number, email, Telegram ID, WhatsApp ID, or other relevant identifier.
  • Checkout timestamp.
  • Terms accepted by the subscriber.
  • Communication history.
  • Refund policy shown to the subscriber.
  • Any other information reasonably required by UseLink or its payment partners.

If a creator fails to provide evidence on time, UseLink may resolve the dispute against the creator and deduct the amount from the creator’s balance or future payouts.

UseLink may suspend or terminate a creator account if refunds, complaints, or chargebacks become excessive.


11. Access Delivery

UseLink may automate subscriber access to connected communities where supported.

However, creators remain responsible for ensuring that:

  • The community invite link is valid.
  • The connected Telegram, WhatsApp, or other social platform account is properly configured.
  • UseLink’s bot or integration has the required permissions.
  • Paid subscribers receive the access they paid for.
  • Expired subscribers are removed where automatic removal is enabled.
  • Manual steps, where required, are completed promptly.

UseLink is not responsible for access failure caused by:

  • Incorrect community settings.
  • Invalid invite links.
  • Removal of UseLink’s bot or integration.
  • Social platform downtime.
  • Creator misconfiguration.
  • Subscriber providing incorrect social account details.
  • Platform restrictions by Telegram, WhatsApp, or other third-party platforms.
  • Creator refusing or failing to provide access.

12. KYC, Identity Verification, and Bank Information

UseLink may require creators to provide identification documents, business information, bank account details, address information, social account information, or other verification materials.

We may use this information to:

  • Verify creator identity.
  • Process payouts.
  • Prevent fraud.
  • Comply with payment partner requirements.
  • Comply with legal, regulatory, tax, banking, AML, CFT, and KYC obligations.
  • Investigate suspicious activity.
  • Resolve disputes, refunds, and chargebacks.

Failure to complete KYC or provide accurate information may result in account restrictions, payout delays, payout holds, link suspension, or account termination.


13. Prohibited Uses

You must not use UseLink for any unlawful, fraudulent, deceptive, harmful, or prohibited activity.

Prohibited activities include, but are not limited to:

  • Fraud, scams, phishing, impersonation, or misleading offers.
  • Selling access to illegal content or illegal services.
  • Unauthorized gambling, betting, lottery, or gaming activity.
  • Unlicensed investment schemes, forex schemes, crypto schemes, signals, or financial advice where licensing is required.
  • Ponzi schemes, pyramid schemes, gifting circles, or “double your money” offers.
  • Unauthorized sale of regulated goods or services.
  • Content or communities that promote violence, exploitation, abuse, or illegal activity.
  • Transactions that violate bank, payment partner, card scheme, or regulatory rules.
  • Transactions that UseLink reasonably considers high-risk, suspicious, or harmful to users, UseLink, payment partners, or the public.
  • Any attempt to hide the true nature of a transaction.
  • Any attempt to split, disguise, or misrepresent payments to avoid monitoring, restrictions, fees, or compliance review.

UseLink may reject, suspend, or terminate any creator, link, transaction, or community that we consider prohibited, high-risk, misleading, or non-compliant.


14. High-Risk Communities and Offers

UseLink may apply stricter review, delayed payouts, higher reserves, additional KYC, transaction limits, or additional conditions to high-risk creators or communities.

High-risk categories may include, but are not limited to:

  • Betting or gambling-related communities.
  • Forex, crypto, trading, investment, or “signals” communities.
  • Adult-oriented communities.
  • High-ticket subscription communities.
  • Communities with high refund, complaint, or chargeback rates.
  • Communities making earnings, profit, guaranteed outcome, or lifestyle claims.
  • Communities receiving unusually high traffic or transaction volume.

UseLink may require creators in high-risk categories to provide additional proof of legitimacy, licensing, disclosures, refund policies, content policies, or compliance documents.


15. Account Suspension and Termination

UseLink may suspend, restrict, or terminate your account, subscription link, community connection, payout, or access to the platform at any time if:

  • You breach these Terms.
  • You provide false or incomplete information.
  • You fail KYC or compliance checks.
  • You engage in prohibited or suspicious activity.
  • You create excessive refunds, chargebacks, or complaints.
  • You misuse UseLink’s platform, APIs, integrations, or payment systems.
  • You expose UseLink or its payment partners to loss, liability, regulatory risk, fraud risk, security risk, or reputational harm.
  • Required by a payment partner, bank, card scheme, regulator, court, law enforcement authority, or applicable law.

Termination does not remove your responsibility for transactions, refunds, chargebacks, fees, penalties, losses, or obligations that arose before termination.

UseLink may continue to hold records, funds, or reserves after termination where necessary for dispute, chargeback, fraud, compliance, tax, accounting, or legal reasons.


16. Taxes

Creators are responsible for determining, collecting, reporting, and paying any taxes, duties, levies, or government charges applicable to their sales, subscriptions, income, or payouts.

UseLink may deduct, withhold, or report taxes where required by law, regulation, payment partner rules, or government authority.

UseLink is not responsible for a creator’s tax obligations.


17. Creator Content and Community Conduct

Creators are responsible for all content, messages, materials, advice, claims, and activities inside their communities.

Creators must not:

  • Make false or misleading claims.
  • Promise guaranteed income, guaranteed results, or guaranteed outcomes unless legally permitted and provable.
  • Misrepresent what subscribers will receive.
  • Refuse access after successful payment without valid reason.
  • Remove subscribers unfairly before their subscription expires.
  • Use subscriber data outside the purpose for which it was provided.
  • Harass, exploit, threaten, or abuse subscribers.

UseLink may investigate complaints and may suspend links, hold payouts, or terminate accounts where creator conduct creates subscriber harm or dispute risk.


18. Subscriber Access and Expiry

Subscribers receive access according to the duration, terms, and conditions shown on the checkout page or creator offer.

Access may expire automatically at the end of the paid period unless renewed.

Where automatic removal is enabled, subscribers may be removed from the connected community after expiry, failed renewal, refund, chargeback, or cancellation.

A subscriber may also lose access if:

  • The payment fails.
  • The transaction is reversed.
  • A refund is issued.
  • A chargeback is initiated.
  • The creator’s community is suspended.
  • The subscriber violates the creator’s community rules.
  • The subscriber violates these Terms.
  • UseLink is required to restrict access for compliance, fraud, security, or legal reasons.

19. Data and Privacy

UseLink collects and processes personal data in accordance with our Privacy Policy.

We may collect information such as name, email address, phone number, Telegram ID, WhatsApp ID, IP-based location data, analytics data, transaction records, bank details, KYC documents, payout information, support messages, and compliance records.

We use this information to provide services, process payments, grant access, manage subscriptions, process payouts, prevent fraud, comply with legal obligations, and improve UseLink.

By using UseLink, you agree that your data may be shared with payment partners, banks, card schemes, fraud-prevention providers, hosting providers, analytics providers, creators, regulators, and other necessary service providers where required to provide the service or comply with the law.

You may request access, correction, or deletion of your personal data, subject to legal, compliance, payment, fraud-prevention, dispute-resolution, accounting, and regulatory retention requirements.


20. Platform Security

You are responsible for keeping your UseLink account, email, social accounts, passwords, devices, and connected platforms secure.

Creators must not:

  • Share dashboard access with unauthorized persons.
  • Expose API keys, webhook secrets, or payment credentials.
  • Attempt to bypass UseLink security controls.
  • Interfere with UseLink systems.
  • Use bots, scripts, or automation in a harmful or unauthorized way.
  • Attempt unauthorized access to another user’s account, data, link, payout, or community.

You must notify UseLink immediately if you suspect unauthorized access, account compromise, payment fraud, leaked credentials, or a security incident.

UseLink may restrict access, rotate credentials, suspend links, or pause payouts where we suspect a security issue.


21. Third-Party Services

UseLink may integrate with third-party services such as Telegram, WhatsApp, banks, payment processors, hosting providers, email providers, analytics tools, and other platforms.

UseLink is not responsible for third-party downtime, policy changes, API limitations, account bans, access restrictions, payment failures, network issues, or service interruptions outside our control.

Your use of third-party platforms may also be subject to their own terms and policies.


22. No Guarantee of Earnings or Results

UseLink does not guarantee that creators will earn money, gain subscribers, reduce churn, prevent refunds, avoid chargebacks, or achieve any specific business result.

Any analytics, projections, conversion data, or revenue insights provided by UseLink are for informational purposes only.

Creators remain responsible for their pricing, offer quality, marketing, customer support, refund policy, community value, and subscriber satisfaction.


23. Intellectual Property

UseLink and its software, brand, website, dashboard, workflows, designs, content, APIs, documentation, logos, and technology are owned by Consylus Technologies Limited or its licensors.

You may not copy, resell, reverse engineer, reproduce, modify, distribute, or exploit any part of UseLink without our written permission.

Creators retain ownership of their own community content, brand, and materials, but grant UseLink the limited right to use names, logos, links, and related materials as necessary to provide the service, display checkout pages, process transactions, provide support, and promote UseLink where permitted.


24. Confidentiality

You may receive non-public information from UseLink, including technical documentation, API details, operational information, pricing, business processes, or security information.

You must not disclose such confidential information to unauthorized third parties.

This obligation continues even after your account is closed.


25. Disclaimers

UseLink is provided on an “as is” and “as available” basis.

We do not guarantee that:

  • The platform will always be available.
  • Payments will always be successful.
  • Payouts will always be instant.
  • Third-party platforms will always work.
  • Creators will deliver value to subscribers.
  • Subscribers will not request refunds or chargebacks.
  • Access automation will be error-free.
  • The service will meet every user’s expectation.

To the maximum extent permitted by law, UseLink disclaims warranties of merchantability, fitness for a particular purpose, uninterrupted service, and non-infringement.


26. Limitation of Liability

To the maximum extent permitted by law, UseLink shall not be liable for:

  • Creator misconduct.
  • Subscriber misuse.
  • Failed, delayed, reversed, or disputed payments.
  • Chargebacks, refunds, or payout holds.
  • Loss of profit, revenue, goodwill, data, business opportunity, or anticipated savings.
  • Indirect, incidental, special, consequential, exemplary, or punitive damages.
  • Third-party service failures.
  • Social platform restrictions or downtime.
  • Bank, payment processor, card scheme, or regulatory actions.
  • Unauthorized access caused by your failure to secure your account or systems.

Where liability cannot be excluded, UseLink’s total liability shall be limited to the amount of fees earned by UseLink from the affected transaction or user during the period giving rise to the claim, unless a higher amount is required by applicable law.


27. Indemnity

You agree to indemnify and hold harmless UseLink, Consylus Technologies Limited, its directors, employees, agents, affiliates, payment partners, and service providers from any claim, loss, liability, penalty, fine, cost, chargeback, refund, damage, or expense arising from:

  • Your breach of these Terms.
  • Your misuse of UseLink.
  • Your violation of applicable law.
  • Your violation of payment partner, bank, card scheme, or platform rules.
  • Your creator content, community, offer, or subscriber relationship.
  • Fraudulent, misleading, unauthorized, or illegal transactions.
  • Chargebacks, refunds, disputes, or complaints connected to your activity.
  • Your failure to provide access after payment.
  • Your failure to complete KYC.
  • Your tax obligations.
  • Your handling of subscriber data.
  • Your breach of confidentiality or security obligations.

28. Changes to These Terms

UseLink may update these Terms from time to time.

Where changes are material, we may notify you by email, platform notice, website notice, or other reasonable method.

Your continued use of UseLink after changes become effective means you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using UseLink.


29. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Federal Republic of Nigeria, unless another jurisdiction is required by applicable law.

Parties shall first attempt to resolve disputes amicably.

Where a dispute cannot be resolved amicably, it shall be submitted to arbitration in Lagos, Nigeria, in accordance with applicable arbitration law, unless another process is required by law.
